These Terms and Conditions (“Terms”) govern your use of the Orchestrated Quiz Night platform (“OQN”, “we”, “us”, “our”), accessible at [platform URL].

1. About These Terms

These Terms and Conditions (“Terms”) govern your use of the Orchestrated Quiz Night platform (“OQN”, “we”, “us”, “our”), accessible at [platform URL]. By creating an account, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use the platform.

We reserve the right to update these Terms at any time. Material changes will be communicated via email to your registered address and by in-app notification, with at least 14 days’ notice before taking effect. Continued use of the platform following that notice period constitutes acceptance of the revised Terms. If you do not accept the changes, you may delete your account at any time.

2. Eligibility and Registration

2.1 Age Requirement

You must be 18 years of age or older to register for an account. By registering, you confirm that you meet this requirement.

2.2 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to keep your account details up to date. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account.

2.3 One Account Per User

You may only hold one account. Creating multiple accounts to gain additional token bonuses or circumvent restrictions is a breach of these Terms and may result in permanent account suspension and forfeiture of all associated token balances.

2.4 Geographic Scope

The platform is primarily intended for use in the United Kingdom. Some features, pricing, and payout options may vary by region or be unavailable in certain jurisdictions. We make no warranty that the platform is appropriate for use in locations outside the UK.

3. User-Generated Content

3.1 Ownership

You retain copyright and ownership of all original questions, bundles, and other content you upload to OQN (“Your Content”). By uploading content, you grant OQN a perpetual, worldwide, royalty-free, non-exclusive licence to store, display, distribute, and make Your Content available to other users within the platform, and to include it in promotional materials with attribution where feasible.

3.2 Content Licence to Purchasers

When another user purchases a bundle containing your questions, they are granted a limited, non-transferable licence to use those questions in live quiz sessions. They may not re-sell, republish, redistribute, or use your content outside of the OQN platform or for any commercial purpose other than running quiz events.

3.3 Content Standards

All content you upload must:

  • Be your own original work or content you have the right to share
  • Not infringe any copyright, trademark, or other intellectual property rights
  • Not contain offensive, discriminatory, hateful, or illegal material
  • Be factually accurate to the best of your knowledge
  • Be appropriately categorised, tagged, and described

3.4 Content Moderation

OQN reserves the right to remove any content that violates these Terms, is reported and found to be inaccurate, or is otherwise deemed inappropriate at our sole discretion. You will be notified of any removal where reasonably practicable. Content removal does not automatically entitle you to a refund of tokens earned from that content, and royalties earned in the 30 days prior to removal for a verified violation may be reversed.

3.5 Intellectual Property Disputes & Takedowns

If you believe content on the platform infringes your intellectual property rights, please contact us at [contact email] with details of the alleged infringement. We will investigate and respond within a reasonable timeframe. OQN will act on valid takedown requests in accordance with applicable UK copyright law.

4. Token Economy

4.1 Nature of Tokens

OQN Tokens (“Tokens”) are a virtual in-platform currency. In the current phase of the platform, Tokens have no real-world monetary value and cannot be exchanged for cash unless OQN explicitly enables a cash payout programme (see Section 5). Tokens are not a financial product and do not constitute e-money.

4.2 Earning Tokens

Tokens may be earned by:

  • Creating a new account (onboarding bonus)
  • Uploading questions accepted into the marketplace
  • Rating and validating content you have downloaded, within daily limits
  • Contributing multiple-choice wrong answers to eligible questions
  • Receiving royalties when bundles containing your questions are purchased

Token reward amounts and daily caps are set by OQN and are subject to change at any time (see Section 4.5).

4.3 Spending Tokens

Tokens may be spent to:

  • Purchase and download question bundles
  • Purchase individual questions (where enabled)

4.4 Token Transactions

All token transactions are final and non-refundable, except:

  • Where a clear platform error has resulted in an incorrect deduction
  • Where content purchased is subsequently removed for violating these Terms

OQN reserves the right to adjust token balances where necessary to correct errors, address abuse, or maintain the integrity of the platform economy.

4.5 Changes to Token Values, Rewards, and Costs

OQN reserves the right to change token reward rates, spending costs, royalty splits, bundle prices, and daily earning caps at any time, at our sole discretion. We will provide reasonable notice (typically 14 days) of material changes via email and in-app notification. Tokens accrued under previous reward rates carry no guarantee of maintaining that rate, and no expectation of real-world monetary equivalence is created by any reward rate at any time.

The platform may, in the future, introduce dynamic or demand-based pricing for bundles. If introduced, this will be clearly communicated.

4.6 Promotional Tokens and Discounts

OQN may from time to time offer promotional token bonuses, discounted bundle prices, or enhanced reward rates as time-limited promotions. These promotions:

  • Do not set a precedent or create any ongoing entitlement
  • May be subject to separate conditions (e.g. expiry dates or restrictions on cash payout eligibility), which will be stated at the time of the promotion
  • May be withdrawn at any time without notice

No opt-in is required to receive price changes or token cost adjustments. Marketing communications about promotions require separate consent (see Section 9).

4.7 Token Expiry

Tokens in inactive accounts may be subject to expiry. An account is considered inactive if no login has occurred for consecutive months. We will notify you by email at least 30 days before any token expiry is applied.

4.8 Future Paid Tokens

If OQN introduces the ability to purchase Tokens with real money, we will:

  • Publish clear pricing and purchase terms at that time
  • Provide refund policies compliant with applicable UK consumer protection law
  • Disclose any relevant tax implications
  • Apply for any required regulatory permissions, including FCA registration if applicable

5. Author Cash Payouts

5.1 Eligibility

Cash payouts are an optional programme available to authors who earn tokens through content contributions and royalties. To participate, you must explicitly opt in via your account settings and provide valid UK bank account details or an approved payment method.

5.2 Minimum Payout Threshold

The minimum cash payout amount is £10. Token balances below this threshold will be held in your account until the threshold is reached. Balances below the minimum threshold are not forfeited; they accumulate until the minimum is met or until your account is closed in good standing.

5.3 Token-to-GBP Conversion Rate

OQN will publish the current token-to-GBP conversion rate on the platform. This rate may change from time to time. The rate applied to a payout will be the rate in effect at the time the payout request is submitted.

5.4 Payment Processing

Cash payouts are processed via a third-party payment provider ([e.g. Stripe Connect / PayPal Payouts — to be confirmed]). OQN does not hold cash on your behalf directly; funds are held and disbursed by the named payment processor in accordance with their own terms and safeguarding obligations. OQN is not liable for delays, errors, or failures caused by the third-party payment provider.

5.5 Your Tax Responsibilities

It is your sole responsibility to declare any earnings from OQN cash payouts to HMRC or other applicable tax authorities. OQN does not deduct income tax at source and does not provide tax advice. You should seek independent financial advice if you are unsure of your obligations.

5.6 Payout Forfeiture on Account Termination

If your account is permanently terminated by OQN for a material breach of these Terms, any pending cash payout balances may be withheld pending investigation. Token balances will not be paid out to banned accounts where the ban resulted from fraudulent activity, manipulation of the token economy, or repeated severe violations of these Terms. Where the termination is due to a minor or disputed violation, we will consider payout eligibility on a case-by-case basis.

6. Service Availability

6.1 No Guarantee of Availability

OQN is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted, error-free, or continuous availability of the platform or any of its features, including the quiz presentation and session management tools. The platform may be unavailable due to scheduled maintenance, unplanned technical issues, hosting failures, or circumstances beyond our control.

6.2 Limitation of Liability for Downtime

To the fullest extent permitted by UK law, OQN accepts no liability for:

  • Lost tokens, scores, or session data caused by service outages
  • Failure of the quiz presentation tool during a live quiz event
  • Business losses, reputational damage, or costs arising from platform unavailability
  • Data loss caused by technical failure, except where caused by our gross negligence

6.3 Offline Failsafe — Bundle Downloads

As a safeguard against service unavailability, all purchased bundles are available for download as a formatted document (e.g. PDF or printable host script) at any time whilst your account is in good standing. We strongly recommend that hosts download their chosen bundles prior to a quiz event and retain a copy, so that the quiz can proceed independently of platform availability. The availability of the download feature itself is subject to the same availability disclaimers in Section 6.1, but we endeavour to ensure download access is restored as a priority in any outage scenario.

6.4 Planned Maintenance

We will endeavour to provide advance notice of planned maintenance windows where this would result in extended unavailability (greater than 60 minutes), via in-app notification and/or email.

7. Quiz Session Data

7.1 Data Collected

When you run a quiz session, the platform collects: team names, scores per round, the date and duration of the session, and the bundles used. This data is associated with your account.

7.2 Host Control

Score data from your quiz sessions belongs to you. By default it is private. You may choose to share or publish results (e.g. leaderboards or social media). OQN will not publish individual team names or scores without your permission.

7.3 Platform Use of Session Data

OQN may use aggregated, anonymised session data for bundle difficulty analysis, platform-wide statistics, and product improvement purposes. We will not share session-specific data with third parties.

7.4 Venue Information

If you enter a venue name or location, this may be used for your own record-keeping and, if you opt in, for aggregated regional statistics.

8. Data Protection and Privacy

8.1 Privacy Policy

Our use of your personal data is governed by our Privacy Policy [link], which forms part of these Terms. By accepting these Terms, you also accept the Privacy Policy.

8.2 Data We Collect

We collect and process: account information (email, username, password hash), activity data (questions uploaded, bundles purchased, ratings, session data), and analytics data (IP address, browser/device information, usage patterns). Full details are in our Privacy Policy.

8.3 Lawful Basis

We process your data on the basis of: contract performance (to provide the service), legitimate interest (security, fraud prevention, platform analytics), and consent (for marketing communications).

8.4 Data Retention

We retain your personal data while your account is active. On account deletion, personal identifiers will be removed within 30 days. Content contributions may be retained in anonymised form to preserve marketplace integrity. Token transaction records are retained for financial audit purposes in anonymised form. Data is retained as required by applicable law, including the UK Data Protection Act 2018.

8.5 Your Rights

You have the right to: access your data, rectify inaccuracies, delete your account and associated data (subject to legal retention requirements), object to certain processing, and port your data. To exercise these rights, contact us at [data@oqn.co.uk].

8.6 Data Breaches

In the event of a data breach, we will notify affected users and relevant regulatory authorities within 72 hours in accordance with GDPR obligations.

8.7 Security

We store passwords using cryptographic hashing (bcrypt or equivalent). All data in transit is encrypted via HTTPS/TLS. Access to personal data is restricted to authorised personnel only.

9. Communications and Marketing

9.1 Operational Emails (Mandatory)

By registering, you consent to receive operational communications from OQN, which are necessary for the functioning of your account. These include:

  • Account registration and verification emails
  • Password reset notifications
  • Token transaction confirmations
  • Policy and Terms change notifications
  • Security alerts
  • Payout-related communications

You cannot opt out of operational emails while your account is active.

9.2 Marketing Emails (Optional — Separate Consent Required)

We will only send marketing communications (including promotional offers, new feature announcements, token bonus campaigns, and platform newsletters) if you have explicitly opted in at registration or via your account settings. This consent is separate from your acceptance of these Terms and is recorded with a timestamp.

You may withdraw your marketing consent at any time by clicking “unsubscribe” in any marketing email, or by updating your preferences in account settings. Withdrawal of marketing consent does not affect your account or access to the platform.

9.3 Email Management

Marketing communications are managed via [email platform — e.g. Mailchimp / Brevo]. Your email address will be shared with this third-party provider solely for the purpose of sending communications you have consented to, in accordance with our Privacy Policy.

10. Prohibited Conduct and Abuse Prevention

10.1 Prohibited Activities

You must not:

  • Create multiple accounts to obtain additional onboarding bonuses or circumvent restrictions
  • Submit plagiarised, duplicate, or AI-generated spam content
  • Manipulate ratings, validations, or difficulty votes through collusion or fake activity
  • Use automated scripts, bots, or tools to farm tokens or interact with the platform
  • Attempt to reverse-engineer, scrape, or extract platform content or data
  • Harass, threaten, or abuse other users
  • Attempt to defraud the platform’s token economy or payment systems

10.2 Detection and Enforcement

OQN employs automated and manual methods to detect abuse, including duplicate content detection, rate limiting, daily earning caps, and community flagging. Consequences of violations may include:

  • Warning (minor or first offence)
  • Temporary account suspension
  • Permanent account ban
  • Forfeiture of tokens earned through fraudulent activity
  • Withholding of pending cash payouts (see Section 5.6)

We reserve the right to apply these measures at our sole discretion. Where possible, we will notify you of actions taken and provide an opportunity to appeal via [support email].

11. Liability and Disclaimers

11.1 Content Accuracy

OQN does not guarantee the factual accuracy of any user-generated questions or bundles. Community validation mechanisms improve quality but are not infallible. Hosts and players use all content at their own risk. We recommend reviewing content before use in a live event.

11.2 Platform Liability Cap

To the fullest extent permitted by UK law, OQN’s total aggregate liability to you for any claim arising out of or related to these Terms shall not exceed the greater of: (a) the total amount of tokens purchased by you with real money in the 12 months preceding the claim, or (b) £50.

Nothing in these Terms limits liability for death or personal injury caused by OQN’s negligence, fraud, or fraudulent misrepresentation, or any liability that cannot be excluded by law.

11.3 Third-Party Services

The platform may reference or link to third-party services (e.g. image hosting, payment processors). OQN is not responsible for the content, availability, or practices of third-party services.

11.4 Online Safety and Content Reporting

In accordance with our obligations under the Online Safety Act 2023, we provide mechanisms for users to report illegal or harmful content. Reports can be submitted via [report link / contact email]. We will review and respond to reports in a timely manner and maintain an appeals process for content removal decisions.

12. Account Termination

12.1 By You

You may delete your account at any time via account settings. Following deletion, personal data will be removed within 30 days in accordance with Section 8.4. Token balances are forfeited on voluntary account deletion. If you have a pending cash payout above the minimum threshold, we will process it before deletion is finalised, provided the account is in good standing.

12.2 By OQN

We may suspend or terminate your account if you breach these Terms, engage in fraudulent activity, or if the platform ceases operation. We will provide notice where reasonably practicable, except where immediate action is required to prevent harm or fraud.

12.3 Platform Closure

In the event that OQN ceases trading or closes the platform, we will provide at least 30 days’ notice to registered users. During this period, users with opted-in cash payout balances above the minimum threshold will have the opportunity to request a payout. Purely virtual token balances (not linked to any cash payout programme) will not be compensated upon platform closure.

13. Dispute Resolution

13.1 Content Disputes Between Users

Disputes regarding content ownership, plagiarism, or authorship should be raised with our moderation team at [moderation email]. Users may be asked to provide evidence of original authorship. OQN’s decision following investigation is final within the platform, though this does not affect any legal rights you may have.

13.2 Disputes with OQN

If you have a complaint or dispute with OQN, please contact us first at [support email]. We aim to resolve disputes informally within 14 working days. If a dispute cannot be resolved informally, either party may pursue mediation or legal action under the laws of England and Wales.

13.3 Governing Law

These Terms are governed by the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales, except where consumer protection law in your jurisdiction provides additional rights.

14. General

14.1 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and OQN with respect to your use of the platform and supersede all prior agreements.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

14.3 No Waiver

Failure by OQN to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.

14.4 Assignment

You may not transfer or assign your account or any rights under these Terms to another person. OQN may assign its rights under these Terms in connection with a merger, acquisition, or sale of assets, with notice to users.
